Public Offer

This document is a public offer to enter into a paid services agreement electronically. The service provider is Evgenia Nikolaevna Tregubova, taxpayer identification number 503236138633, applying the Russian professional income tax regime and providing services through Rivrox.

1. Definitions

Order means the paid service, price, period and parameters shown before payment and recorded by the Service. AI Credit is an internal unit giving the right to perform one AI generation of one music track within the applicable package period; it is not money, electronic money, a security or a payment instrument. Account Plan means paid access to specified additional account features for a defined period.

2. Services

The Provider offers paid digital services including AI Credit packages, Account Plans and other features expressly marked as paid. The price, quantity, period and included features shown before payment form part of the Order.

3. Acceptance and Contract

By paying for an Order, the User accepts this Offer and the Payment and Refund Terms. The contract is concluded when Rivrox receives reliable server-side confirmation of successful payment from the payment provider. A browser success page alone is not sufficient proof of payment.

4. AI Credits

One AI Credit gives the right to one completed generation of one track. Unless the checkout page states otherwise, a purchased package is valid for 30 calendar days from crediting. Unused credits expire after that period and are not a cash balance.

If a credit is deducted but generation does not complete because of a confirmed technical failure of the Service or its technology infrastructure, Rivrox restores the credit with the remaining validity period of the relevant package. Such restoration is not itself a monetary refund.

5. AI Results

AI generation is probabilistic. The Provider does not guarantee exact satisfaction of subjective expectations, uniqueness, commercial success, legal protectability or absence of similarity to other works or results. As between the Provider and the User, the Provider does not claim exclusive rights merely because a result was generated through Rivrox and does not prohibit commercial use on that basis. Legal protection depends on applicable law and actual human creative contribution. The User is responsible for the lawfulness of source materials.

Temporary technical AI result files may be retained for a limited period; unless the interface states another period, the current technical retention period is up to 14 days.

6. Account Plans

Features, period and price are shown before payment. The service is performed throughout the paid period by providing the relevant functionality. Automatic renewal or recurring charging is not used unless the User is clearly informed before payment and gives any consent required by law.

7. Price and Payment

Base prices are stated in Russian roubles. Payments may be processed by a third-party payment provider, including Robokassa. Available methods are shown at checkout. Rivrox does not store full bank-card details. Where another currency is used, conversion and possible fees are determined by the bank or payment participant.

8. Professional Income Tax Receipt

The Provider generates and delivers a receipt as required by Russian Federal Law No. 422-FZ. Lawful authorised platform operators, credit institutions or solutions integrated with the Russian “My Tax” system may be used for this process.

9. Performance

An individual AI generation is performed when the result is successfully created and made available to the User. An Account Plan is performed throughout the paid access period. Rivrox and payment-provider server records may be used to evidence payment, allocation and use of the service.

10. Cancellation and Refund

A customer may withdraw from a paid services agreement in the cases and on the conditions provided by Article 782 of the Russian Civil Code, subject to payment of the Provider actual expenses. A refund calculation may take into account the portion already performed and documented expenses. For AI packages, successfully used credits are taken into account; a generation for which a credit was restored because of a technical failure is not treated as successfully performed. For an Account Plan, the period and scope of access already provided may be taken into account.

Where mandatory consumer-protection or other non-waivable rules apply to the specific relationship, those rules prevail over this Offer. The request procedure is described in the Payment and Refund Terms.

11. Duplicate Charges

A confirmed erroneous duplicate charge is refundable for the excess payment where a separate paid service was not provided for it. Rivrox may request transaction date, amount and identifier, but not the full card number.

12. Third Parties and Availability

The Provider may use payment, infrastructure and technology suppliers. Temporary unavailability of a particular supplier does not cancel already paid rights: Rivrox may restore the feature, use a compatible supplier or apply the refund rules if performance becomes objectively impossible.

13. Liability

The parties are responsible under applicable law. This Offer does not exclude liability or mandatory rights that cannot lawfully be excluded.

14. Changes

A new version applies to future Orders from its effective date. Terms of an already paid Order are not retroactively worsened except where law expressly requires otherwise.

15. Governing Law

Russian law applies. Mandatory User rights that apply to the specific relationship regardless of choice of law remain effective.
